1. Introduction

MODU Valves A/S ("the Company") is committed to maintaining high ethical standards and an open corporate culture. The purpose of this whistleblower scheme is to provide a safe and confidential channel for reporting serious concerns or violations related to the Company.

The whistleblower scheme is established in accordance with the Danish Whistleblower Act (Act No. 1436 of 29 June 2021).

2. Who can report?

The whistleblower scheme can be used by individuals who have obtained information in a work-related context, including:

  • Employees (current and former)
  • Members of management and the board of directors
  • Job applicants
  • Interns and volunteers
  • Business partners, suppliers, and other collaborators

3. What can be reported?

The whistleblower scheme is intended for reporting serious matters. This includes:

  • Violations of EU law
  • Serious breaches of law
  • Serious violations of the Company's internal policies

Examples may include:

  • Financial crime (e.g. fraud, embezzlement, forgery)
  • Corruption, bribery, or conflicts of interest
  • Serious breaches of health and safety
  • Environmental violations
  • Serious or repeated violations of internal policies
  • Serious workplace misconduct, including harassment, sexual harassment, or repeated bullying

The scheme is not intended for general HR matters, such as dissatisfaction with salary or minor workplace disagreements.

If you are in doubt, we encourage you to report your concern. It is always better to speak up than to stay silent.

4. How to report

We encourage you to include as much relevant detail as possible. Reports can be submitted via the Company's whistleblower form available on this page.

Reports may be submitted anonymously, if desired.

5. Confidentiality

All reports will be treated confidentially.

The identity of the whistleblower will only be disclosed to persons authorized to handle the report and only where necessary and in accordance with applicable law. Access to reports is restricted to a limited number of trusted individuals.

6. Processing of reports

Reports are received and handled by the Company's COO/CFO. If a report concerns the COO/CFO, the report will instead be handled by the Chairman of the Board.

If a report concerns other members of management or the Board, appropriate measures will be taken to ensure an independent and impartial handling of the case. If a potential conflict of interest cannot be ruled out, the report will be handled by an alternative designated person. Only persons who are not involved in the reported matter will handle the case.

7. Protection of whistleblowers

The Company strictly prohibits any form of retaliation against individuals who report concerns in good faith.

This protection applies regardless of whether the reported information ultimately proves to be correct, provided the report was made based on reasonable grounds.

8. Procedure and timelines

  • Receipt of the report will be acknowledged within 7 days, where possible
  • Feedback on the status or outcome of the case will be provided within 3 months, where possible

If the report is submitted anonymously and no contact details are available, it may not be possible to provide feedback.

9. Data protection

Personal data submitted through the whistleblower scheme will be processed in accordance with applicable data protection laws (GDPR).

Information will be retained only as long as necessary to process the report and in accordance with legal requirements.

10. External reporting

In addition to using the Company's whistleblower scheme, reports can also be submitted to the Danish Data Protection Agency's external whistleblower scheme:
